EleMo-V3 Commercial Model & LoRA License

Version 1.0 — August 2026

1. Purpose

This Commercial License grants the licensed individual or organization ("Licensee") specific rights to use designated EleMo-V3 model variants, merged models, and LoRA adapters for commercial purposes.

This License applies only to EleMo-V3 model files, merged variants, LoRA adapters, and other derivative model assets explicitly identified by the Licensor as being distributed under this License or covered by an individual commercial licensing agreement.

Commercial EleMo-V3 Assets

The following EleMo-V3 assets are designated as commercially licensed assets:

EleMo-V3 variants above Q8
EleMo-V3 BF16 / FP16 and equivalent higher-precision variants
Merged EleMo-V3 models
EleMo-V3 LoRA adapters

Non-Commercial EleMo-V3 Assets

EleMo-V3 variants below Q6 are made available for private, non-commercial use, subject to the applicable EleMo non-commercial license.

Commercial use of EleMo-V3 variants below Q6 requires explicit commercial licensing from the Licensor.

2. Definitions

"Licensor"

"Licensor" means the copyright and/or rights holder responsible for EleMo and for granting the rights described in this License.

"Licensee"

"Licensee" means the individual or legal entity that has lawfully obtained a commercial license from the Licensor.

"Model"

"Model" means the EleMo-V3 model weights, parameters, configuration files, tokenizer files, and related model files explicitly covered by this License.

"Licensed Variants"

"Licensed Variants" means the specific EleMo-V3 files, variants, merged models, or adapters identified in the applicable licensing agreement.

These may include:

EleMo-V3 Q8
EleMo-V3 variants above Q8
EleMo-V3 BF16 / FP16
Merged EleMo-V3 models
EleMo-V3 LoRA adapters
Other EleMo-V3 commercial variants explicitly designated by the Licensor

"LoRA Adapter"

"LoRA Adapter" means an EleMo-specific Low-Rank Adaptation or other parameter-efficient fine-tuning adapter distributed by the Licensor.

"Merged Model"

"Merged Model" means a model created by combining an EleMo-V3 model with one or more other model components, checkpoints, adapters, or parameter sets through a model-merging or equivalent process.

"Derivative Model"

"Derivative Model" means a model created by modifying, fine-tuning, merging, adapting, quantizing, converting, optimizing, or otherwise transforming a Licensed Variant.

"Commercial Use"

"Commercial Use" means any use intended for or connected with commercial advantage, monetary compensation, revenue generation, business operations, paid services, products, or other commercial exploitation.

Commercial Use includes, without limitation:

Use by a company or other commercial organization
Use in a paid product or service
Use in SaaS or API services
Use in commercial software
Use in revenue-generating content production
Use in paid research or consulting
Use in internal business operations
Use in customer-facing systems

"Private, Non-Commercial Use"

"Private, Non-Commercial Use" means personal use by an individual that is not intended for commercial advantage, monetary compensation, revenue generation, business operations, paid services, or commercial exploitation.

3. Grant of Commercial Rights

Subject to the terms of this License and any applicable commercial licensing agreement, the Licensor grants the Licensee a:

non-exclusive;
worldwide;
limited;
non-transferable;
non-sublicensable;

license to use the Licensed Variants for Commercial Use.

The License is granted only for the specific Licensed Variants and use cases covered by the applicable license.

No rights are granted by implication.

4. Commercial Model Classification

The EleMo-V3 licensing structure is based on the model variant and distribution format.

4.1 Commercial Variants

The following EleMo-V3 assets require a valid commercial license for commercial use:

Any quantization above Q8
BF16
FP16
Other higher-precision variants
Merged EleMo-V3 models
EleMo-V3 LoRA adapters
EleMo-V3 adapter files
Other variants explicitly designated as commercial

4.2 Non-Commercial Variants

EleMo-V3 variants below Q6 are available for private, non-commercial use under the applicable EleMo non-commercial license.

This permission does not grant commercial rights.

Commercial use of a variant below Q6 requires a separate commercial license unless explicitly stated otherwise by the Licensor.

4.3 Commercial Rights Are Determined by the Asset

The fact that an asset can technically be converted into another format does not change its licensing status.

For example:

A commercial Q8 model remains commercially licensed after conversion to another model format.
A commercially licensed Q6 model does not become freely usable for commercial purposes merely because it is re-quantized.
A merged model containing or derived from commercial EleMo-V3 weights remains subject to the applicable commercial restrictions.
Commercial EleMo-V3 LoRA adapters remain commercial assets regardless of the compatible base model or file format.

5. Permitted Commercial Use

The Licensee may use the Licensed Variants for legitimate commercial purposes, including:

Commercial software development
Commercial internal tools
Commercial educational software
Enterprise deployment
Commercial research
Commercial content generation
Integration into commercial applications
Internal business operations
Customer-facing software
Paid services
SaaS applications
On-premises commercial deployment
Private cloud deployment
Local deployment on infrastructure controlled by the Licensee

The Licensee may generate and use outputs produced by the Model for commercial purposes, subject to applicable law and the rights of third parties.

6. Commercial Deployment

The Licensee may deploy the Licensed Model within its own commercial infrastructure.

This includes:

Local servers
Workstations
Private cloud infrastructure
Enterprise infrastructure
Commercial application servers
Internal company infrastructure

The Licensee may make the Model available to its employees and authorized contractors where reasonably necessary to operate the licensed commercial application.

The Licensee remains responsible for ensuring that such access is consistent with this License.

7. SaaS and Hosted Services

The Licensee may use the Licensed Model to provide commercial hosted services, APIs, SaaS products, or other customer-facing services, provided that the Model itself is not distributed to customers as a downloadable model file.

Customers may access functionality powered by the Model without receiving ownership or redistribution rights to the underlying Model.

8. Outputs

Subject to applicable law and third-party rights, the Licensor does not claim ownership of ordinary outputs generated through the Licensee's authorized use of the Model.

The Licensee is responsible for determining whether generated outputs are suitable for its intended commercial purpose.

The Licensee is also responsible for ensuring that its use of generated outputs does not infringe third-party rights or applicable laws.

9. Modification and Fine-Tuning

The Licensee may modify, fine-tune, adapt, quantize, merge, optimize, or otherwise technically transform the Licensed Model for its own commercial use.

This includes:

Fine-tuning
Parameter-efficient fine-tuning
LoRA training
Adapter development
Quantization
Model merging
Model optimization
Domain adaptation
Conversion between model formats

Any modification remains subject to the restrictions of this License where it contains, incorporates, or depends upon the EleMo model weights.

10. EleMo LoRA Adapters

Commercial EleMo-V3 LoRA adapters and adapter files covered by this License may be used for commercial purposes together with compatible base models as specified by the Licensor.

Unless explicitly agreed otherwise in writing, a commercial license to an EleMo LoRA adapter:

permits commercial use of the licensed LoRA;
permits commercial deployment of the LoRA;
permits use of the LoRA within commercial software;
does not transfer ownership of the LoRA;
does not permit resale of the LoRA as a standalone product;
does not permit redistribution of the LoRA to third parties.

The Licensee may create additional internal adapters or modifications for its own authorized commercial use.

11. Merged Models

Merged EleMo-V3 models are considered commercially licensed assets where the merge incorporates or is derived from commercially licensed EleMo-V3 weights.

A merged model may be used commercially by a valid Licensee within the scope of this License.

Unless explicitly authorized in writing, the Licensee may not:

publicly distribute the merged model;
publish the merged model for unrestricted download;
sell the merged model as a model asset;
sublicense the merged model;
distribute the underlying EleMo weights contained in or recoverable from the merged model.

Commercial use of a merged model does not transfer ownership of the underlying EleMo intellectual property.

12. Redistribution of Model Weights

The commercial license does not automatically grant redistribution rights.

The Licensee may not publicly distribute, publish, upload, sell, sublicense, rent, lease, or otherwise transfer the Licensed Model weights, merged models, or EleMo LoRA adapters to third parties unless the applicable commercial agreement expressly grants redistribution rights.

This restriction applies regardless of format, including:

Safetensors
PyTorch weights
GGUF
Quantized formats
LoRA
Adapter formats
Merged model files
Converted model files
Other derivative weight formats

A Licensee may not upload licensed EleMo-V3 weights or derivative model weights to a public model repository without explicit written permission.

13. No Sublicensing

The Licensee may not sublicense the Licensed Model or grant third parties rights equivalent to those granted under this License.

A commercial customer, end user, contractor, or other third party does not automatically receive a license to the underlying EleMo weights merely because they interact with software containing or powered by EleMo.

14. Internal Use by Employees and Contractors

The Licensee may allow its employees and authorized contractors to access the Licensed Model when reasonably necessary for the Licensee's authorized commercial use.

Such access must remain under the control and responsibility of the Licensee.

The Licensee must take reasonable measures to prevent unauthorized copying or redistribution of the Licensed Model.

15. Ownership

The EleMo model weights, EleMo-specific LoRA adapters, merged model components, associated model parameters, documentation, and branding remain the property of the Licensor or their respective rights holders.

This License grants usage rights only.

It does not constitute a sale, assignment, or transfer of ownership of the Model.

16. Derivative Models

The Licensee may not publicly distribute, publish, or sell any Derivative Model that incorporates or is substantially derived from the EleMo weights without explicit prior written consent from the Licensor.

Unless otherwise agreed in writing:

The Licensee may use such Derivative Models commercially;
The Licensee may not publicly distribute the original EleMo weights contained within the Derivative Model;
The Licensee may not use a Derivative Model to circumvent EleMo licensing restrictions;
The Licensee must maintain reasonable separation between licensed EleMo weights and any independently owned components.

Nothing in this section transfers ownership of the underlying EleMo intellectual property.

17. Commercial Redistribution of Products

The Licensee may distribute commercial software, applications, services, or products that use the Licensed Model internally or as part of the product's functionality.

However, unless explicitly authorized by the applicable commercial agreement, the Licensee must not distribute the underlying EleMo model weights or LoRA adapters as standalone downloadable assets.

Examples of permitted distribution may include:

A desktop application using EleMo internally
A SaaS application powered by EleMo
An enterprise application using EleMo on a server
A commercial educational platform using EleMo
A commercial workflow incorporating EleMo

The following generally require separate written permission:

Selling EleMo weights
Selling EleMo LoRAs as standalone files
Publishing EleMo weights
Hosting EleMo weights for unrestricted third-party download
Sublicensing EleMo weights
Creating a competing model distribution based substantially on EleMo weights

18. License Scope

The commercial license applies only to the specific EleMo-V3 variants, merged models, and adapters identified in the applicable commercial license agreement.

Unless explicitly stated otherwise, this License does not automatically include:

Future EleMo model versions
EleMo-V4 or later versions
Other EleMo model families
Restricted or unreleased models
Partner-branded or separately designated EleMo models
Other proprietary EleMo assets

Future releases may be subject to separate licensing terms.

19. Q6, Q8 and Higher-Precision Variants

The following EleMo-V3 variants are designated as Commercial Licensed Variants:

EleMo-V3 Q6

Commercial use requires a valid EleMo commercial license.

EleMo-V3 Q8

Commercial use requires a valid EleMo commercial license.

EleMo-V3 Above Q8

Commercial use requires a valid EleMo commercial license.

EleMo-V3 BF16 / FP16

Commercial use requires a valid EleMo commercial license.

Possession or download of a Q6, Q8, BF16, FP16, or higher-precision file does not by itself grant commercial rights.

The applicable commercial license must be obtained from the Licensor.

20. Variants Below Q6

EleMo-V3 variants below Q6 are designated for private, non-commercial use under the applicable EleMo non-commercial license.

Such variants may be used privately without a commercial license, provided that the use remains genuinely non-commercial.

Commercial activities involving variants below Q6 require a separate commercial license unless the Licensor explicitly states otherwise.

The following do not automatically convert a below-Q6 variant into a commercial asset:

Private experimentation
Personal educational use
Personal research
Local inference for personal use
Non-commercial evaluation

However, use in connection with a business, paid service, revenue-generating activity, or commercial product constitutes Commercial Use and requires appropriate licensing.

21. Relationship to the EleMo Non-Commercial License

EleMo-V3 variants released under the EleMo Non-Commercial License remain subject to that license.

In particular, EleMo-V3 variants below Q6 are intended for private, non-commercial use unless a separate commercial agreement explicitly grants broader rights.

The existence of this Commercial License does not automatically convert a Non-Commercial release into a commercial release.

A commercial license must specifically identify the applicable model variant, merged model, LoRA adapter, or other asset.

Where a valid commercial agreement explicitly grants broader rights for a particular EleMo asset, those rights govern that asset to the extent stated in the agreement.

22. Attribution

Where reasonably possible, commercial products incorporating EleMo should provide attribution to EleMo.

The Licensee may not imply that the Licensor endorses the Licensee's product, company, service, or organization without explicit written permission.

23. Trademark and Branding

This License does not grant ownership or unrestricted use of the EleMo name, logo, trademarks, or branding.

The Licensee may refer to EleMo for factual identification of the licensed technology.

Use of EleMo branding in marketing materials, product names, or services may require separate written permission.

24. Privacy and Sensitive Data

EleMo is designed to support local and data-sovereign AI deployment.

However, the Model is not a guarantee of legal compliance, privacy, security, or suitability for any particular use case.

The Licensee is solely responsible for ensuring compliance with applicable privacy and data protection laws.

Particular care must be taken when processing personal or sensitive information relating to children.

25. No Professional Advice

EleMo is an artificial intelligence model and does not replace qualified professional judgment.

The Licensee must independently evaluate model outputs before relying on them in consequential contexts.

This is particularly important for:

Child protection
Developmental assessment
Health
Mental health
Medical matters
Legal matters
Safeguarding
Educational decisions with significant consequences

26. Third-Party Rights

This License grants only rights controlled by the Licensor.

If the Model, its underlying architecture, datasets, tokenizer, software, or other components are subject to third-party licenses or restrictions, those terms remain applicable.

The Licensee is responsible for reviewing and complying with applicable third-party licenses.

Nothing in this License grants rights that the Licensor does not legally possess.

The Licensee acknowledges that the underlying base model (for example, Qwen or another third-party model) may be subject to its own license terms.

This License does not override the base model's license regarding the base model's original components.

27. Compliance With Law

The Licensee must use EleMo in accordance with all applicable laws and regulations.

Nothing in this License authorizes unlawful use.

The Licensee is responsible for obtaining any additional permissions, certifications, approvals, or regulatory authorizations required for its specific commercial application.

28. Term

Unless a separate commercial agreement specifies a different term, this License is granted for the period stated in the applicable commercial licensing agreement.

If no term is explicitly stated, the license remains valid while the Licensee complies with this License and any applicable commercial agreement, subject to termination provisions below.

29. Termination

The Licensor may terminate the license if the Licensee materially breaches this License or the applicable commercial agreement.

Upon termination, the Licensee must cease all use of the Licensed Model except where continued use is expressly permitted by written agreement or applicable law.

The Licensee must cease distribution of the Licensed Model and take reasonable steps to remove unauthorized copies under its control.

Termination does not automatically require deletion of lawful outputs already generated by the Licensee, unless otherwise required by applicable law or agreement.

30. No Warranty

THE MODEL AND RELATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE", TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

THE LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, OR SUITABILITY FOR A PARTICULAR COMMERCIAL APPLICATION.

The Licensor does not guarantee that the Model will:

Produce accurate outputs
Produce consistent outputs
Be free of errors
Be suitable for a particular business purpose
Meet regulatory requirements
Meet a specific performance target
Operate without interruption

31. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE USE OF THE MODEL.

This includes, without limitation:

Loss of revenue
Loss of profits
Business interruption
Loss of data
Incorrect outputs
Decisions based on Model outputs
Privacy incidents
Security incidents
Failure to meet commercial expectations

Nothing in this License excludes or limits liability where such limitation is prohibited by applicable law.

32. Reservation of Rights

All rights not expressly granted under this License are reserved by the Licensor.

In particular, the Licensee receives no rights to:

Unlicensed EleMo models
Future EleMo versions
EleMo-V4 or later versions
Unreleased models
Partner- or separately designated premium models
EleMo trademarks
EleMo training datasets
Proprietary documentation not expressly licensed
Redistribution of model weights unless expressly permitted

33. Entire Agreement

This License together with the applicable commercial licensing agreement constitutes the agreement governing the licensed use of the applicable EleMo assets.

If there is a conflict between this License and a separately signed commercial agreement, the separately signed agreement controls for the specific licensed transaction.

34. Severability

If any provision of this License is found to be invalid or unenforceable, the remaining provisions shall remain in effect to the maximum extent permitted by applicable law.

35. No Waiver

Failure by the Licensor to enforce any provision of this License does not constitute a waiver of that provision or of the Licensor's right to enforce it later.

36. Governing Law

This License shall be governed by the laws of the Federal Republic of Germany.

Where mandatory law provides otherwise, such mandatory provisions remain unaffected.

The exclusive place of jurisdiction for all disputes arising from this License shall be Schifferstadt, Germany, to the extent legally permissible.

No commercial rights are granted until a valid commercial license has been issued or agreed upon.

39. Final Notice

EleMo-V3 Q6, Q8, higher-precision variants, merged EleMo-V3 models, and licensed EleMo-V3 LoRA adapters are commercial licensed assets.

EleMo-V3 variants below Q6 are available for private, non-commercial use under the applicable EleMo Non-Commercial License.

A commercial license grants the Licensee the right to use the licensed EleMo assets commercially within the agreed scope.

It does not constitute a sale or transfer of ownership of the model weights.

Unless explicitly agreed otherwise in writing:

Use is licensed. Ownership is not transferred. Redistribution is not permitted.

40. Licensing Ecosystem & Central Reference

This License file, together with any separately signed commercial licensing agreement, constitutes the legally binding license governing your use of the licensed EleMo-V3 model variant(s), merged models, and/or adapters.
